1. Acceptance of Terms

By accessing or using the ResponsiveBid platform, you agree to be bound by these Terms of Service. If you are using the platform on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these terms.

2. Description of Service

ResponsiveBid is an AI-powered software-as-a-service (SaaS) platform designed to assist businesses in drafting and vetting government and B2B proposals. Features include the Knowledge Vault, Automated Compliance Matrix, and AI-driven drafting agents.

3. Use of AI & User Responsibility

IMPORTANT: ResponsiveBid uses large language models to generate content.

  • Draft Nature: All AI-generated content is provided as a draft only. It is not a final, legally binding, or technically verified document.
  • Human Oversight: Users are solely responsible for reviewing, verifying, and final-editing all AI-generated content before submission to any third party or government agency.
  • Final Accuracy: ResponsiveBid is not liable for any errors, omissions, or misstatements in the final proposals submitted by the user.

4. Subscription & Usage Limits

Access to certain features may be subject to a paid subscription.

  • Monthly Scan Limits: Usage is tracked based on "scans" or drafting attempts. Standard accounts are subject to a monthly limit which resets every 30 days.
  • Payment: Fees are non-refundable unless otherwise stated in a separate enterprise agreement.

5. Intellectual Property

Your Content: You retain all ownership rights to the documents, data, and final proposals you upload or generate on the platform.

Our Platform: StepUp Learning Labs retains all rights, title, and interest in the ResponsiveBid software, algorithms, UI design, and branding. You are granted a limited, non-transferable license to use the service for your business operations.

6. Prohibited Conduct

You agree not to:

  • Use the platform for any illegal or fraudulent purpose.
  • Attempt to reverse-engineer, decompile, or disrupt the platform's infrastructure.
  • Upload documents containing malicious code or data you do not have the right to possess.
  • Use the platform to generate misleading or deceptive government bids.

7. Limitation of Liability

To the maximum extent permitted by law, StepUp Learning Labs shall not be liable for any indirect, incidental, special, or consequential damages arising out of your use of the platform. This includes, but is not limited to, loss of profits, failure to win a specific contract, or data loss.

8. Termination

We reserve the right to suspend or terminate your access to the platform if you violate these terms. You may cancel your subscription at any time through the account settings.

9. Governing Law

These terms shall be governed by and construed in accordance with the laws of the jurisdiction in which StepUp Learning Labs is registered, without regard to its conflict of law principles.
